Welcome to Swadesh Graphics! These Terms & Conditions (“Terms”) govern your use of our website and services. These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Swadesh Graphics and Advertising, concerning your access to and use of the Services. By accessing or using our website, placing an order, or using our design and printing services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. Please read them carefully before using our services.  IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

Services

We offer a range of online and offline printing and design services, including but not limited to:

• Printed Products: Visiting cards, letterheads, bill books, canopies, and several other custom printing products listed on our various product categories.
• Design Services: Custom design creation for print products based on customer requirements.
• Online Ordering: Users can upload their own designs to be printed on selected products.

User Responsibilities

• Design Upload: When uploading designs for printing, the customer ensures the design complies with all copyright, trademark, and intellectual property laws. Swadesh Graphics is not responsible for any copyright infringement claims.
• Accuracy: Customers are responsible for ensuring all information submitted (e.g., text, images, logos) is accurate and correctly formatted before submitting it for printing. We are not liable for any errors or omissions in user-uploaded content.

Ordering Process

• Order Confirmation: Upon placing an order, you will receive a confirmation email. If there are any issues with your order, we will notify you.
• Pricing & Payment: Prices for products and services are clearly displayed on the website and may vary based on size, material, or customization. We accept payments through debit/credit cards, UPI, net banking and other available payment methods.

Shipping & Delivery

• Shipping Policy: We offer delivery across India. Delivery times may vary based on the product type and your location. Estimated delivery times will be provided at checkout.
• Shipping Charges: Delivery charges are calculated based on the product weight, size, and delivery location.
• Delivery Delays: We are not responsible for delays caused by third-party delivery carriers. However, we will make reasonable efforts to ensure timely delivery.

Refunds & Cancellations

• Order Cancellation: Orders can be cancelled before the printing process begins. Once printing has started, cancellations may not be possible.
• Refund Policy: Refunds may be issued in cases where products are defective or damaged during delivery. If the product is not as per the design provided by customer, a refund or reprint may be offered.

Design Ownership

• Customer-Owned Designs: If you upload your own design for printing, you retain full ownership of that design. However, by submitting the design to us for printing, you grant Swadesh Graphics a non-exclusive, royalty-free license to use, store, and reproduce the design solely for the purpose of processing, fulfilling, and completing your order.
• Designs Created by Swadesh Graphics: If you pay for a custom design service, once the design is completed and delivered to you, the design will become your property, and you will have full rights to the design. Swadesh Graphics will not retain any ownership or rights to the design unless otherwise agreed upon in writing.

User-Generated Content Guidelines

• Prohibited Content: You may not upload any content that is offensive, defamatory, violates intellectual property rights, or is otherwise unlawful. Swadesh Graphics reserves the right to reject any designs that do not meet these standards.
• Content Responsibility: Customers are solely responsible for ensuring their designs do not infringe upon the rights of third parties.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. Please be advised the Services are hosted in India. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in India, then through your continued use of the Services, you are transferring your data to India, and you expressly consent to have your data transferred to and processed in India.

• Personal Data: We collect personal information, including name, address, contact details, and payment information, for order processing and customer service. We take reasonable steps to protect your data and comply with applicable privacy laws.
• Data Usage: Your information will only be used for fulfilling orders, communicating with you regarding your orders, and offering marketing communications (if opted in).

Service Management

 Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms shall be resolved through arbitration or court proceedings in Lucknow, Uttar Pradesh, India.

Account Registration and Security

• Account Creation: If customers choose to create an account on Swadesh Graphics, they are responsible for providing accurate, up-to-date information. Customers must also maintain the confidentiality of their account login details.
• Security: Customers must notify Swadesh Graphics immediately if they suspect any unauthorized access to their account. Swadesh Graphics will not be responsible for any damages resulting from unauthorized access.

Pricing and Payment Terms

• Price Changes: We reserve the right to change the prices of products and services at any time without prior notice. However, any price changes will not affect orders already placed.
• Taxes: All prices are exclusive of applicable taxes. Taxes will be added during checkout, based on your location.
• Currency: All prices listed on the website are in Indian Rupees (INR).

Order Fulfilment & Product Availability

• Availability: All products and services are subject to availability. If there is an issue with the availability of a product or service, Swadesh Graphics will notify the customer, and the order may be cancelled or adjusted accordingly.
• Out-of-Stock Items: In the event of an out-of-stock product, customers will be offered alternative products or a full refund if no replacement is available.

Force Majeure

• Swadesh Graphics will not be held liable for any failure or delay in fulfilling an order or providing services due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, strikes, government actions, pandemics, or other events that could not have been foreseen or prevented.

Indemnification

• Customer Responsibility: Customers agree to indemnify, defend, and hold harmless Swadesh Graphics, its affiliates, directors, employees, and agents from any claims, damages, liabilities, or expenses arising from their use of our services or violation of these Terms.
• Design Content Responsibility: If a customer uploads a design that infringes on any third-party intellectual property rights or contains offensive material, they agree to indemnify Swadesh Graphics against any legal consequences.

User-Generated Content

• License to Use Content: By submitting designs, text, images, or other content, customers grant Swadesh Graphics a non-exclusive, royalty-free, transferable license to use, store, and reproduce the content for processing, fulfilling, and marketing the order.
• Content Ownership Disputes: If there are any disputes regarding the ownership or use of submitted content, Swadesh Graphics will cooperate with relevant authorities, but customers are ultimately responsible for resolving such matters.

Modification and Termination of Services

• Right to Modify Services: Swadesh Graphics reserves the right to modify, suspend, or discontinue any part of our services at any time, without prior notice.
• Right to Terminate: We may suspend or terminate a customer’s account or access to services if they violate these Terms or engage in fraudulent activity.

 International Orders

• India-Only Service: Swadesh Graphics only provides services within India. We do not accept orders from customers located outside India. If you attempt to place an order from outside India, it may be cancelled, and no refund will be issued.
• Cross-Border Issues: If you use third-party services to access Swadesh Graphics from outside India, you are responsible for complying with all relevant laws and regulations.

Governing Language

• Language of Agreement: The official language of these Terms and Conditions is English. If any translations of these Terms exist, the English version shall prevail in case of any discrepancies.

User Feedback and Reviews

• Customer Reviews: Customers may leave reviews or feedback on products and services. By submitting a review, the customer grants Swadesh Graphics the right to use, modify, and publish the review for marketing purposes.
• Review Policy: Reviews must comply with our guidelines and cannot contain offensive, inappropriate, or unlawful content. Swadesh Graphics reserves the right to remove reviews that violate these terms.

• Limited License: You are granted a limited, non-exclusive, non-transferable license to use the website and services solely for personal, non-commercial purposes. Unauthorized use of the content may result in legal action.

No Waiver

• Waiver of Rights: Failure by Swadesh Graphics to enforce any part of these Terms shall not be deemed a waiver of our right to do so in the future.

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.  LIMITATIONS OF LIABILITY

• Damages: Swadesh Graphics is not liable for any indirect, incidental, or consequential damages arising out of the use of our products or services. Our liability is limited to the total amount paid by the customer for the specific product or service in question.
• Product Quality: We make every effort to ensure the quality of printed products, but we are not liable for minor color variations, print errors, or design issues that result from user-submitted content.
• IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US.
